Terms of Use

Please read this agreement carefully before installing or using the Memory Loop Slicer plugin ("the Software"). By downloading, installing, or using the Software, you agree to be bound by these terms. If you do not agree, do not install or use the Software.

1. License Grant

Kaiq Electronics grants you a personal, non-exclusive, non-transferable license to install and use the Software on up to 2 devices that you personally own and use.

The Software is licensed, not sold. Kaiq Electronics retains all intellectual property rights, copyrights, and trademarks associated with the Software.

2. What You Can Do

Music Production: You may use the Software to create, record, perform, and release music or audio projects for both personal and commercial purposes.

No Royalty Obligations: Any audio or musical works you produce using the Software belong to you. You do not owe royalties or credits to Kaiq Electronics for the audio created with the plugin.

Host Compatibility: You may run the Software on any compatible Digital Audio Workstation (DAW) supporting the VST3 format.

3. Restrictions

You agree not to:

• Sell, rent, share, sublicense, or distribute the Software or your license key to anyone else.
• Reverse engineer, decompile, or attempt to derive the source code of the Software.
• Bypass, disable, or tamper with any license verification or copy-protection mechanisms.
• Use the Software in any way that violates applicable local or international laws.

4. License Activation & Device Limits

The Software requires online activation using your license key. After activation, the Software must reconnect to the internet at least once every 7 days to revalidate your license; if it cannot revalidate within that window, the looping features will be locked until it goes back online (dry/passthrough audio remains unaffected).

Your license is valid for up to 2 active devices. You can manage or deactivate devices to move your license to a new system through the software menu or by contacting support. Kaiq Electronics reserves the right to revoke licenses found to be pirated, resold, or shared publicly.

5. Purchases & Refunds

Purchases are processed by Dodo Payments, our authorised Merchant of Record, which appears as the seller on your receipt and handles payment and applicable taxes.

You may request a full refund within 7 days of purchase, no questions asked. Upon issuance of a refund, your license key will be permanently deactivated, and the Software will cease to function.

This 7-day policy satisfies the mandatory 7-day right of withdrawal under Brazilian Consumer Law (CDC). Where mandatory statutory consumer protection law in your jurisdiction grants a longer withdrawal period (for example, EU or UK distance-selling rules), that longer period applies instead, unless you have given prior express consent to immediate delivery of the digital content and acknowledged the resulting loss of that right.

6. Updates, Demo & Compatibility

Updates: Minor updates and bug fixes (e.g., version 1.x) are provided free of charge at Kaiq Electronics' discretion. Major version upgrades (e.g., version 2.0) may be offered as separate paid upgrades.

Demo/Beta Versions: Any trial, demo, or beta release of the Software is provided "as is" for testing purposes only, without warranties or support of any kind.

Support: We aim to support modern 64-bit operating systems and DAWs, but cannot guarantee compatibility with every hardware or software combination. Technical support is provided on a best-effort basis.

7. Disclaimer & Limitation of Liability

The Software is provided "as is", without warranty of any kind. Kaiq Electronics is not liable for any direct, indirect, or incidental damages (including loss of data, project corruption, or audio performance issues) arising from the use or inability to use the Software. In any case, total liability shall not exceed the amount actually paid for the Software.

8. Termination

This license is effective until terminated. It will terminate automatically, without notice, if you fail to comply with any provision of this agreement. Upon termination, you must cease all use of the Software and destroy all copies in your possession. Sections 3, 7, and 9 survive termination.

9. Governing Law

This agreement is governed by the laws of Brazil, without prejudice to any mandatory consumer rights granted by the laws of your home country.

10. Changes to This Agreement

Kaiq Electronics may update these terms from time to time. Continued use of the Software after an update constitutes acceptance of the revised terms. Material changes will be noted with an updated date above.
